General Terms & Conditions of Sale & Supply
These Terms & Conditions (“Terms”) shall apply to all quotations, purchase orders, invoices, supplies, job work, fabrication, machining, repair, engineering services, and commercial transactions undertaken by STELCO GEARS (“Seller”) with any buyer, customer, company, or entity (“Buyer”).
Placement of Purchase Order, acceptance of quotation, release of advance, receipt of goods, approval through email/WhatsApp, or continuation of business dealings shall constitute acceptance of these Terms.
- PRICES & TAXES
1.1 Unless otherwise specified, all prices are Ex-Works Ghaziabad, Uttar Pradesh.
1.2 GST, freight, insurance, packing, forwarding, loading/unloading, and other applicable charges shall be extra.
1.3 Prices are subject to revision in case of significant increase in raw material cost, taxation, fuel cost, foreign exchange fluctuation, or other unforeseen commercial factors prior to dispatch.
- PAYMENT TERMS
2.1 Advance payment is mandatory for all orders. Orders exceeding INR 1,00,000/- shall require a minimum advance of 50% of the order value prior to commencement of work, unless a separate written credit arrangement has been agreed.
2.2 Delay in payment may result in suspension of production, dispatch, or future supplies.
2.3 Delayed payments shall attract interest @ 24% per annum from invoice due date until realization.
2.4 Any bank charges, collection charges, legal expenses, or recovery expenses arising due to delayed payment shall be borne by Buyer.
- DELIVERY
3.1 Delivery timelines are indicative and subject to:
- receipt of advance payment,
- approved drawings/specifications,
- technical clarification,
- raw material availability,
- transport conditions,
- and operational circumstances.
3.2 Delay caused due to Buyer approvals, design changes, payment delay, transport disruption, force majeure, or circumstances beyond reasonable control shall reasonably extend delivery schedules.
3.3 Partial dispatches may be made unless specifically restricted in writing.
- INSPECTION & ACCEPTANCE
4.1 Buyer shall communicate inspection requirements before commencement of work.
4.2 Buyer shall be responsible for conducting inspection, dimensional verification, specification confirmation, and technical suitability assessment of the material at the time of delivery/receipt before rejection or return of goods.
4.3 Any complaint regarding quantity, visible damage, manufacturing defect, dimensional issue, or specification mismatch shall be raised within 7 days from receipt of material along with supporting inspection records or technical observations.
4.4 Failure to conduct proper inspection at the time of receipt shall not entitle Buyer to subsequently reject goods on avoidable or unverifiable grounds.
4.5 Material shall not be returned without prior written approval from STELCO GEARS.
- REJECTION & DEDUCTIONS
5.1 No deduction, debit note, LD claim, or set-off shall be made without prior mutual discussion and written agreement.
5.2 STELCO GEARS shall not be liable for indirect, consequential, production, shutdown, or third-party losses.
5.3 Maximum liability of STELCO GEARS, if established, shall not exceed the invoice value of supplied goods.
- DIGITAL & ELECTRONIC COMMUNICATION
6.1 Communications through email, WhatsApp, electronic documents, scanned copies, invoices, transport documents, and related digital records may be relied upon as evidence of commercial dealings between parties.
- TRANSPORT & RISK
7.1 Dispatch shall be made through transporter selected by Seller or mutually agreed transporter unless otherwise instructed by Buyer.
7.2 Risk in goods shall pass as per agreed dispatch terms.
7.3 Insurance shall be arranged only if specifically requested by Buyer and charged extra.
- FORCE MAJEURE
STELCO GEARS shall not be liable for delay or non-performance caused by events beyond reasonable control including natural disasters, strikes, transport disruption, labour issues, machinery breakdown, government restrictions, pandemic, or raw material shortage.
- OWNERSHIP OF GOODS
Ownership of goods shall remain with STELCO GEARS until full payment realization.
- LEGAL & RECOVERY RIGHTS
10.1 STELCO GEARS reserves rights available under applicable commercial laws including MSMED Act, Indian Contract Act, Negotiable Instruments Act, and related laws.
10.2 In case of payment default, STELCO GEARS reserves the right to initiate recovery proceedings as permissible under law.
- DISPUTE RESOLUTION & JURISDICTION
11.1 Parties shall first attempt amicable resolution of disputes.
11.2 Failing settlement, disputes may be referred to arbitration in Ghaziabad, Uttar Pradesh in accordance with applicable law.
11.3 Courts at Ghaziabad, Uttar Pradesh shall have jurisdiction, subject to applicable legal provisions.
- OFFICIAL COMMUNICATION
Official communications may be issued through authorized company email IDs, invoices, quotations, or written communications issued by STELCO GEARS.
